Representing Business Sellers
We have represented the Owners/Sellers of Distribution, Manufacturing, Retail, Service, and other businesses. They have ranged from large businesses with millions of dollars of Annual Sales/Revenues to businesses with Sales/Revenues under several hundred thousand. We “manage the sale process” so that the Owner can continue to operate the business. Our extensive resources and experience benefit our clients. We work with the Seller’s accounting, legal, and financial professionals to achieve the desired result. We measure success by the many referrals we receive from satisfied clients.
Representing Business Buyers
Many of the Buyers we have represented have located an acquisition candidate and desire our assistance to complete the transaction. We help to determine value, structure and negotiate an offer, evaluate the business including due diligence, prepare business plans and financing requests, and guide the buyer through the process. Our experience with lenders is also an asset. We also do “searches”, that is, identify, locate, and assist a specific buyer with an acquisition of a targeted candidate of a specific type or in a specific industry.
Appraisals/Valuations
There are many reasons why Businesses and Machinery & Equipment are appraised. They include: Buyer’s and Sellers to determine an appropriate sale price, Buying out or bringing in a new Partner or Owner, Estate Planning and Settlements, Banks/Lenders for collateral purposes, Divorce, Business & Retirement Planning, Litigation Support, and many other reasons.
Business Appraisals. Determining the value of a Business is both an art and a science, whether valuing Stock, Assets, the “Business” or a combination. As each business is unique, the appraiser must critically analyze it for its strengths, weaknesses, the Income and Cash Flow it produces, and prospects for the future. Using the Asset, Income, and Market Approaches to value, applying the appropriate method(s) in each approach, and analyzing results allows the appraiser to arrive at a value that can be justified and defended.
Machinery and Equipment Appraisals. The Cost and Market Approaches are the most frequently used methods to determine the value of machinery and equipment; the Income approach is rarely applicable. Depending on the purpose and scope, an M&E Appraisal can provide Fair Market Value, Orderly Liquidation Value, and/or Forced/Auction Value.
Financial Planning/ConsultingWe consult in the areas of Business Planning and Financial Consulting. The value of a Business Plan to the business owners is derived from the process of creating it, not from having a completed Plan. Therefore we do not write Business Plans but do work with our clients to facilitate the planning process. We also consult in the area of obtaining financing, often done with respect to a business acquisition, and with refinancing business debt. John W.
